Customer Agreement

This Customer Agreement ("Agreement") is entered into by and between:

CtrlF Technologies Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at Khasra No.329, Chandan Hola, New Delhi 110074 (hereinafter referred to as "CtrlF", "we", "our", or "us");

AND

The retail business registering or using the platform (hereinafter referred to as "Client", "you", or "your").

By accessing or using our platform (including website and mobile applications), you agree to comply with and be bound by the following terms and conditions.

1. Platform Overview

CtrlF provides an AI-powered digital marketplace for Clients to discover, engage, and manage retail service providers ("Vendors") across India. The platform facilitates project management, quality assurance, and secure payments.

2. Client Eligibility

To use CtrlF as a Client, you must:

Be a legally registered retail business in India.
Provide a valid GST number and business credentials.
Maintain active business operations.

3. Client Responsibilities

As a Client on CtrlF, you agree to:

Provide accurate and complete project details.
Honor all confirmed payments as per project milestones.
Maintain professional conduct with Vendors and CtrlF staff.
Ensure timely access and feedback for vendors.
Comply with applicable laws and platform policies.

4. Platform Services for Clients

CtrlF provides the following:

Discovery of verified Vendors.
Project posting and management tools.
Payment protection and escrow services.
Quality monitoring and performance analytics.
Dispute resolution support.

5. Financial Terms

5.1 Service Charges

CtrlF does not charge Clients directly for access; service fees may be included in Vendor pricing.

5.2 Payments

All payments are processed securely via the platform.
Project payments may be held in escrow and released upon milestone completion.
Applicable taxes are the Client's responsibility.

5.3 Cancellation & Refunds

Clients may cancel projects before vendor selection without penalty.
Cancellations after vendor selection may incur fees (10% if before work, and additional fees based on work completed if after commencement).
Refunds, if applicable, will be processed per our Refund & Cancellation Policy.

6. Data and Privacy

CtrlF collects and processes Client data under our Privacy Policy, including:

Business information
User activity and service data
Communication records

We use industry-standard measures for data protection including encryption, access control, and routine audits.

7. Account Termination

CtrlF may suspend or terminate Client accounts for:

Breach of terms
Fraudulent activity
Non-payment or repeated disputes

Upon termination, project data and payment settlements will be handled per our Terms & Conditions.

8. Dispute Resolution

CtrlF provides a structured dispute resolution mechanism:

Initial resolution via in-app ticketing
Escalation to platform mediation
Arbitration as per Indian law for unresolved matters

9. Intellectual Property

All platform content, design, and technology is owned by CtrlF. Clients may not copy, replicate, or reuse any part of the platform without written permission.

10. Limitation of Liability

CtrlF acts as a facilitator. We are not liable for:

Direct services provided by Vendors
Delays, losses, or damages arising from vendor-client relationships
Force majeure events

11. Governing Law

This Agreement is governed by the laws of India. Jurisdiction lies with the courts of Delhi.

12. Amendments

CtrlF reserves the right to modify this Agreement at any time. Continued use of the platform after such modifications constitutes acceptance of the updated terms.

By registering or using the CtrlF platform, you acknowledge that you have read, understood, and agreed to this Customer Agreement.
